DRIVE WITH AUTONOMY CONTEST
OFFICIAL RULES
NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. THIS CONTEST IS INTENDED FOR LEGAL RESIDENTS OF THE STATES OF CALIFORNIA, WASHINGTON AND FLORIDA, 18 YEARS OF AGE AND OLDER AT TIME OF ENTRY WHO ARE AUTONOMY EV SUBSCRIBERS. VOID WHERE PROHIBITED.
ELIGIBILITY: DRIVE WITH AUTONOMY (the “Contest”) is open only to legal residents of the states of California, Washington, and Florida, who are eighteen (18) years of age and older at the time of entry and who are currently Autonomy EV subscribers as of the day before the beginning of this Contest (See Entry Period for more details), except for employees, directors and officers of NXCR Services, LLC d/b/a Autonomy (the “Sponsor”), its parent companies, subsidiaries, affiliates, and advertising and promotional agencies (collectively “Promotion Parties”), and members of their immediate families (spouse, parent, sibling, child and their respective spouses, regardless of where they reside) and persons living in the same households as such individuals (whether related or not). Additionally, exclusions to eligibility include all persons whose employers’ ethics code or gift policies prohibit their participation and any potential prize winner whose total prize received from the Sponsor in a calendar year exceeds $599 USD in prizes. Eligibility determinations will be made by Sponsor in its discretion and will be final and binding. By participating, you agree to these Official Rules and to the decisions of the judge(s) and Sponsor, which are final and binding in all respects. Void where prohibited by law, rule or regulation. All federal, state and local laws and regulations apply.
ENTRY PERIOD: Beginning on November 14, 2022 at 12:00 a.m. PST through 11:59 p.m. PST on December 31, 2022 (the “Entry Period”).
HOW TO ENTER: To enter, (1) access your free Instagram, Twitter or TikTok account (each, an “Method of Entry”) during the Entry Period, (2) create a post (text, photo or short-form video) to describe “your favorite things about Autonomy EV subscription”, (3) tag @DriveAutonomy on the post by adding “This is my entry to the @DriveWithAutonomy Contest”, and (4) include the following hashtags #DriveWithAutonomy and #Contest to your post, added on the post itself or in a caption. To be eligible, you must set your account profile on Instagram, Twitter or TikTok as “public” during the Entry Period and until winner(s) are announced to allow the Sponsor to receive and review all entries. By participating in the Contest, you agree to be bound by Autonomy’s Terms of Service, Subscription Terms of Service, and Privacy Policy, hereby incorporated by reference. There is a limit of one (1) entry per person/subscriber. You may not enter more times than indicated by using multiple email addresses, user social media accounts, identities, methods of entry, or devices in an attempt to circumvent the rules and submit entries. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. The computer clock of Sponsor is the official time-keeping device in the Contest. Standard data rates and/or data rates (as applicable), if any, charged by the entrant’s internet or mobile service provider may apply if you access Instagram, Twitter or TikTok from your mobile device, and you are solely responsible for any such charges. All entries are subject to verification at any time. Sponsor will have the right to, in its sole discretion, to require proof of identity and/or eligibility in a form acceptable to Sponsor (including, without limitation, government-issue photo identification). Failure to provide such proof to the satisfaction of Sponsor in a timely manner may result in disqualification. By submitting an Entry, you represent and warrant that the work submitted is original to you and that neither it nor its contents infringe upon or violates the rights of any third party. If your Entry includes likenesses of third parties (such as, but not limited to makeup artist or subject) or contains elements not owned by you (such as, but not limited to company logos) you must be able to provide legal releases for such use in a form satisfactory to Sponsor or your Entry will be disqualified. Entries may not defame or invade the publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights. (See “Requirements of Contest Entries” for more details).
REQUIREMENTS OF CONTEST ENTRIES: Entries may not contain, as determined by the Sponsor, in its sole discretion, any content that: (1) is sexually explicit; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity; (2) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message; (3) is obscene or offensive; endorses any form of hate or hate group; (4) appears to duplicate any other submitted contest entries; (5) defames, misrepresents or contains disparaging remarks about other people or companies; (6) contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission; (7) contains any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses; (8) contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission; (9) contains any individual other than you and/or any materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without providing legal releases for such use in a form satisfactory to Sponsor; (10) contains look-alikes of celebrities or other public or private figures, living or dead; (11) communicates messages or images inconsistent with the positive images and/or good will to which Sponsor wishes to associate; and/or (12) violates any law. By submitting an Entry, you acknowledge and agree that Sponsor may receive other Entries under this Contest that may be similar or identical to the Entry submitted by you, and you waive any and all claims you may have had, may have, and/or may have in the future, that any other Entry reviewed and/or used by Sponsor may be similar to your Entry and you understand that you will not be entitled to any compensation because of Sponsor’s use of such other similar or identical material. By submitting an Entry, each Entrant hereby irrevocably grants, transfers, sells, assigns and conveys to the Sponsor, its successors and assigns, all present and future right, title and interest of every kind and nature whatsoever, including, without limitation, all copyrights, and all rights incidental, subsidiary, ancillary or allied thereto (including, without limitation, all derivative rights) in and to the entry for exploitation throughout the universe, in perpetuity, by means of any and all media (including all social media platforms) and devices whether now known or hereafter devised. Each entrant irrevocably waives any and all so-called moral rights they may have in the entry and any component of an entry. Each entrant hereby acknowledges that such entrant does not reserve any rights in or to the entry.
WINNER(S) SELECTION: Each Entry will be judged according to three (3) criteria in equal proportion: (a) adherence to submission requirements (See ‘How to Enter’ and “Requirements of Contest Entries” for more details), (b) originality and creativity, and (c) appropriateness to subject matter—favorite things about Autonomy EV subscription. Entries that do not contain all required entry information or are considered inappropriate for any reason are not eligible. A minimum of one (1) Entry with the highest scores from the judge will be deemed a potential prize winner subject to verification of eligibility and compliance with these Official Rules. In the event of a tie between any two Entries, the winner will be selected based on the originality/creativity criterion. Sponsor has the discretion to select more than one (1) Entry. Winner(s) selection will be conducted by a judge appointed by Sponsor, whose decisions are final. Judging will be conducted on or about December 31, 2022.
PRIZE(S) AND APPROXIMATE RETAIL VALUE (ARV):
Prize Details: A minimum of one (1) Prize, consisting of One (1) Amazon eGift Card valued at $250.00 (the “Prize”). The Prize will be subject to separate terms and conditions as specified by the issuer: Amazon.com e-gift card terms.
Total ARV of all Prizes in the Contest: $250.
Prize Restrictions: Limit of one (1) Prize per person/subscriber. Prizes are non-transferable and no cash redemption or prize substitution permitted, except at the sole discretion of the Sponsor. Sponsor reserves the right in its sole discretion to substitute a prize with one of equal or greater value for any reason. All prize details shall be determined by Sponsor in its sole discretion. Only the advertised number of prizes will be awarded. All claimed prizes will be awarded. Sponsor does not make, nor in any manner is responsible or liable for, any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the prizes including but not limited to their quality, fitness for purpose, or condition. Each participant may receive a maximum of $599 USD per year in prizes from Sponsor. If a potential winner is offered a prize or cumulative prizes that will exceed $599 in a calendar year then Sponsor, in its sole discretion, may deem that person ineligible for the prize.
Prize Notification: Winners are subject to verification, including verification of age. All potential prize winners will be contacted on or about December 31, 2022 by means of direct message and comment via the platform where the post was posted and will be required to respond via email and will be required to execute an Affidavit and Publicity/Liability Release within 7 days of date notice sent, or prize will be forfeited.
Publicity: By accepting a prize, winners grant permission for Sponsor and those acting under its authority to use their name, and address (city and state), photograph, voice and/or likeness, for advertising and/or publicity purposes, in any and all media (including posting on Website and Social Media Platforms) now known or hereinafter invented without territorial or time limitations and without further notice to and without additional compensation. If selected as a winner, the entrant’s information may also be included in a publicly available Winner’s List (See “Winners’ List” for more details.)
Prize Delivery: Prize will be delivery to the email associated with the winner’s Autonomy account within four (4) weeks after verification of prize winners.
Taxes and Other Costs: Winner is responsible for all applicable federal, state and local taxes, if any, as well as any other costs and expenses associated with prize acceptance.
GENERAL CONDITIONS: By participating, each entrant agrees: (a) to abide by these Official Rules and decisions of Sponsor, which shall be final and binding in all respects relating to this Contest; (b) to release, discharge and hold harmless Sponsor, and their respective parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize including any travel/activity related thereto; and (c) to the use of his/her name, voice, performance, photograph/video, image, biographical information, and/or likeness for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the Internet, and in perpetuity by Sponsor and its designees, without separate compensation (unless prohibited by law) or additional consents from entrant or any third party and without prior notice, approval or inspection, and to execute specific consent to such use if asked to do so.
MISCELLANEOUS: Promotion Parties are not responsible for lost, late, incomplete, damaged, inaccurate, illegible, stolen, delayed, misdirected, undelivered, postage-due or garbled entries or mail; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prizes, or the incorrect uploading of any Contest-related materials. Promotion Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Promotion Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to action taken.
CAUTION: ANY ACT OR ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH ATTEMPT BE MADE, PROMOTION PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL(S) TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.
GOVERNING LAW & JURISDICTION; ARBITRATION:
Choice of law: Except where prohibited, all issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of entrants or winners, Sponsor, and administrator in connection with this Contest, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), which might otherwise cause the application of the laws of any jurisdiction other than the State of California.
Arbitration: Except where prohibited by law, as a condition of participating in this Contest, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Contest, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at the AAA regional office nearest the participant; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than participant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Contest), and participant further waives all rights to have damages multiplied or increased.
SOCIAL MEDIA DISCLAIMER: By entering this Contest, Entrants agree to release Instagram, Twitter and TikTok, each of their affiliated entities and respective officers, directors, shareholders, agents, employees and representatives from any and all claims, demands, causes of action, losses, expenses, costs and liabilities of any nature whatsoever that the Entrant may have against any of them which may arise out of or in connection with this Contest. This Contest is in no way sponsored, endorsed or administered by or associated with Instagram, Twitter or TikTok.
THIRD PARTY TRADEMARKS: Any third-party trademarks mentioned herein are the property of their respective trademark owners and the use or mention of any such third-party trademarks in these Official Rules or in the Contest is solely for descriptive purposes and shall in no way imply endorsement or sponsorship of this Contest or of Sponsor.
WINNERS’ LIST: The list of winners will be available approximately on or after January 5th, 2023, after winner confirmation at Autonomy’s Instagram profile on an announcement post.
